These Terms & Conditions ("Terms") govern your access to and use of FlightClub.aero (the "Site") and the "Request a Quote" and "Request More Information" services offered through it (the "Services"), provided by Scott Aviation, LLC dba Silver Air ("FlightClub," "we," "us," or "our").

PLEASE NOTE: SECTION 6 REQUIRES BINDING ARBITRATION OF DISPUTES ON AN INDIVIDUAL BASIS AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

By accessing the Site or submitting a request through it, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

1. Description of Service

The Site allows you to request quotes and information about private aviation services offered by Silver Air Private Jets. Submitting a request through the Site does not create a booking, reservation, or binding agreement for air transportation. Any actual flight arrangement, pricing, and terms will be set out in a separate agreement provided to you directly by Silver Air Private Jets, which will include any disclosures required by applicable federal aviation law, including the identity of the air carrier operating your flight.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

3. Requests for Quotes and Information

When you submit a request through the Site, you agree to provide accurate and complete information. Submitting a request does not guarantee aircraft availability, pricing, or that we will respond to or accept your request. We reserve the right to decline to provide a quote or service to anyone for any lawful reason.

4. User Conduct

You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to our systems; interfere with the security or proper functioning of the Site; submit false or misleading information; or use automated means to access the Site without our written permission.

5. Intellectual Property

All content on the Site — including the Flight Club and Silver Air names, logos, and design — is owned by or licensed to us and protected by intellectual property laws. You may not copy or create derivative works from Site content without our prior written consent.

6. Dispute Resolution: Binding Arbitration and Class Action Waiver

Informal Resolution. Before filing a claim, you agree to first contact us at info@silverair.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. If a dispute is not resolved informally, you and FlightClub agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association under its applicable consumer arbitration rules, rather than in court, except that either party may bring an individual action in small claims court.

Class Action Waiver. Any arbitration or proceeding will be conducted only on an individual basis, not as a class, consolidated, or representative action.

Exceptions. Nothing in this section prevents either party from seeking injunctive relief for intellectual property infringement or unauthorized access to the Site.

7. Third-Party Services and Links

The Site may reference or link to third-party services not owned or controlled by FlightClub. We are not responsible for the content, terms, or practices of any third-party service.

8. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOTHING IN THIS SECTION IS INTENDED TO DISCLAIM OR LIMIT ANY WARRANTY, OBLIGATION, OR LIABILITY RELATING TO THE SAFE OPERATION OF AIRCRAFT, WHICH IS GOVERNED BY APPLICABLE FEDERAL AVIATION LAW, THE OPERATING AIR CARRIER'S FAA CERTIFICATE, AND ANY SEPARATE AGREEMENT GOVERNING AN ACTUAL FLIGHT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND SUBJECT TO SECTION 8 ABOVE, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS SECTION DOES NOT APPLY TO ANY SEPARATE CHARTER OR CARRIAGE AGREEMENT, WHICH IS GOVERNED BY ITS OWN TERMS AND APPLICABLE FEDERAL AVIATION LAW.

10. Indemnification

You agree to indemnify and hold harmless FlightClub, Silver Air Private Jets, and their respective officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Site.

11. Force Majeure

We are not liable for any failure or delay in operating the Site resulting from causes beyond our reasonable control, including outages, government orders, labor disputes, or acts of God.

12. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to Section 6, any action not subject to arbitration will be brought exclusively in the state or federal courts located in Santa Barbara County, California, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be posted on the Site with an updated "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance.

14. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlightClub regarding the Site. They do not govern any separate charter or carriage agreement you may enter into with Silver Air Private Jets. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of that provision.
